LICENSE AGREEMENT
This License Agreement (“Agreement”) is a legally binding contract between you (“Licensee”) and the author / rights holder (“Licensor”). By downloading, purchasing, accessing, or using the assets, you agree to be bound by this Agreement.
If you do not agree to these terms, you must not download, use, or access the assets.
GRANT OF LICENSE
Subject to full compliance with this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to:
Download and use the assets;
Use the assets in projects owned and controlled by the Licensee or the Licensee’s team;
Modify the assets solely for use within such projects.
This license does not transfer ownership. All rights not expressly granted are reserved by the Licensor.
OWNERSHIP & COPYRIGHT
All assets are the exclusive intellectual property of the Licensor and are protected by copyright and other applicable laws.
The Licensee acquires no ownership rights
Modified versions remain derivative works of the original assets and are still owned by the Licensor
STRICT PROHIBITIONS
The Licensee may NEVER, under ANY circumstances, directly or indirectly:
Resell the assets
Redistribute the assets
Share the assets
Sub-license the assets
Upload the assets to asset stores, marketplaces, repositories, or websites
Include the assets in free or paid asset packs, templates, or kits
Make the assets available to third parties in any form
Claim authorship or credit for the assets
Remove or alter copyright notices
Use the assets in a way that allows extraction or reuse by others
These restrictions apply to original, modified, and derivative versions of the assets.
TEAM & COLLABORATION USE
Use by a team is permitted only if:
The project is owned by the Licensee or their team
Team members use the assets solely for that project
The assets are not shared outside the team or reused in other projects
Each Licensee is responsible for all use under their license.
LICENSE REVOCATION
Any violation of this Agreement results in immediate and automatic termination of the license without notice.
Upon termination, the Licensee must:
Immediately cease all use of the assets
Delete all copies of the assets
Delete all modified or derivative versions
Termination does not limit the Licensor’s right to pursue legal remedies
NO WARRANTY – AS IS
THE ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.
The Licensor expressly disclaims all warranties, including but not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability
Compatibility with any software, engine, or platform
The Licensee assumes all risk arising from use of the assets.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
The Licensor shall not be liable for any damages whatsoever, including but not limited to:
Direct or indirect damages
Incidental or consequential damages
Loss of profits, data, or business
Project failure or downtime
Legal or financial losses
Even if the Licensor has been advised of the possibility of such damages.
INDEMNIFICATION
The Licensee agrees to indemnify, defend, and hold harmless the Licensor from any claims, damages, losses, liabilities, costs, or expenses arising from:
Use or misuse of the assets
Violation of this Agreement
Distribution of projects containing the assets
NO REFUNDS OR GUARANTEES
Unless explicitly stated otherwise, all sales are final.
No refunds, chargebacks, or reversals are provided
GOVERNING LAW
This Agreement shall be governed by and interpreted in accordance with the laws of Portugal without regard to conflict-of-law principles.
SEVERABILITY
If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, communications, or understandings.
